Terms of Use for AlzFocus, LLC

Welcome to AlzFocus, LLC (“AlzFocus,” “Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the AlzFocus mobile application, website, software, and related services (collectively, the “Services”).

By downloading, installing, accessing, registering for, or using the Services, you agree to be legally bound by these Terms and our Privacy Policy.

THIS IS A LEGALLY BINDING AGREEMENT. READ IT CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, ACCESS, OR USE THE ALZFOCUS APPLICATION.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.

By using AlzFocus, you represent and warrant that you have the legal authority to enter into these Terms.

If you use the Services on behalf of another person, organization, or entity, you represent that you are authorized to bind them to these Terms.

2. Description of Services

AlzFocus provides organizational, family collaboration, photo organization, scheduling, reminder, and related digital content management tools.

The Services may include functionality related to:

Photos and videos
Memory and journal organization
Calendars and reminders
Shared family access
Scheduling inputs
Notifications and collaborative features
An intermediary link-launching protocol directing users to third-party music providers, including Apple Music and Spotify

The Services are provided solely for informational, organizational, and convenience purposes.

3. No Medical Services or Healthcare Advice

IMPORTANT MEDICAL DISCLAIMER

AlzFocus is not:

A healthcare provider
A medical device
An emergency monitoring service
A pharmacy system
A diagnostic tool
A treatment platform
A crisis response service

AlzFocus does not provide:

Medical advice
Diagnoses
Medication recommendations
Treatment plans
Emergency monitoring
Healthcare supervision

Any medical, medication, caregiving, or health-related information entered into the Services is user-generated and may be inaccurate, incomplete, outdated, dangerous, or unreliable.

The Onus of Care

The entire burden, oversight, and monitoring of care logistics remain exclusively with the account owner and their chosen care circle.

Notification Failures

You explicitly acknowledge that routine notifications, calendar triggers, and “Good Times” memory alerts may delay, malfunction, or fail to deliver entirely due to network drops, operating system bugs, background refresh limitations, server interruptions, and other issues.

No Medical Reliance

You must never rely on AlzFocus for critical health tasks, emergency response, life-sustaining routines, or medication adherence.

If you believe someone is experiencing a medical emergency, call emergency services immediately.

4. User Accounts

To access certain features, you may be required to create an account.

You agree to:

Provide accurate information
Maintain the security of your credentials
Keep your login information confidential
Notify us promptly of unauthorized account access

You are solely responsible for all activity occurring under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

5. Shared Access and Collaborative Features

AlzFocus may allow users to invite family members, friends, or others to access shared content and collaborative tools.

You acknowledge and agree that:

You are solely responsible for deciding what information to share.
Invited users may retain screenshots, copies, downloads, or redistributed content.
AlzFocus does not verify the identities, relationships, guardianship, or authority of shared users.
Shared users may not be who they claim to be.

To the fullest extent permitted by law, AlzFocus is not responsible for misuse, disclosure, redistribution, or retention of shared information by third parties.

6. User Content

You retain ownership of content you upload or submit through the Services (“User Content”).

By uploading User Content, you grant AlzFocus a limited, non-exclusive, worldwide license to host, process, store, reproduce, synchronize, display, and transmit such content solely as necessary to operate and improve the Services.

You are solely responsible for:

The legality of your User Content
The accuracy of submitted information
Obtaining permissions or consents from individuals appearing in uploaded content
Ensuring you have the rights necessary to upload and share content

You may not upload content that:

Violates laws or regulations
Infringes intellectual property or privacy rights
Contains malware or malicious code
Is fraudulent, abusive, defamatory, obscene, or unlawful

We reserve the right to remove or restrict content at our discretion.

7. Third-Party Music Intermediary Disclosures

The music launcher acts strictly as an intermediary protocol link.

AlzFocus does not host, stream, license, or store copyrighted audio files. The application merely triggers deep links to external providers, including Apple Music and Spotify.

You must maintain independent, active, paid subscriptions with those platforms where required for access to their content.

AlzFocus is not liable for structural changes, API breakages, service interruptions, or content availability policies enacted by those external platforms.

8. Apple Face ID or Touch ID Sign-In

Apple Face ID and Touch ID

AlzFocus may support Apple-provided biometric authentication features such as Face ID or Touch ID.

You acknowledge that:

Biometric authentication systems are not infallible.
Unauthorized access may still occur.
Authentication failures and inaccuracies may occur.
AlzFocus does not collect or store Apple biometric templates or raw biometric scans.

Biometric authentication is provided solely as a convenience feature.

9. Subscriptions and In-App Purchases

Certain features may require paid subscriptions or purchases through Apple’s In-App Purchase system.

You acknowledge and agree that:

Payments are processed by Apple, not AlzFocus.
Subscription billing, renewals, cancellations, and refunds are governed by Apple’s applicable policies.
Subscriptions may automatically renew unless canceled through your Apple account settings.

AlzFocus reserves the right to modify pricing, subscription features, or service offerings at any time.

10. Notifications and Reminder Limitations

Notifications and reminders are provided on a best-effort basis only.

You acknowledge that reminders may fail due to:

Device settings
Connectivity failures
Cloud synchronization delays
Operating system limitations
Battery-saving settings
Third-party infrastructure failures

AlzFocus does not guarantee that notifications or reminders will be delivered accurately or timely.

You must not rely on reminders for medical adherence, emergency care, or life-sustaining activities.

11. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, and disclose information.

By using the Services, you consent to our data practices as described in the Privacy Policy.

12. Data Security and Risk Acknowledgment

While AlzFocus implements commercially reasonable safeguards, you acknowledge and agree that:

No system can be guaranteed fully secure.
Unauthorized access, breaches, leaks, corruption, or data loss may occur.
Cloud and third-party systems may fail.
Data may become unavailable or deleted.

You assume all risks associated with storing, uploading, sharing, or managing information through the Services.

You are responsible for maintaining independent backups of important information.

13. Acceptable Use

You agree not to:

Use the Services unlawfully
Attempt unauthorized access to systems or accounts
Interfere with the operation or security of the Services
Upload malicious code or harmful content
Reverse engineer or exploit the Services
Use the Services to harass, abuse, or violate the rights of others

We reserve the right to investigate violations and take appropriate action, including suspension or termination of access.

14. Intellectual Property

The Services, including software, designs, logos, trademarks, text, graphics, and functionality, are owned by AlzFocus or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not reproduce, distribute, modify, or exploit any portion of the Services without prior written consent.

15. Third-Party Services

The Services may rely on third-party platforms or services, including:

Apple iOS services
Apple Push Notification services
Cloud hosting providers
Analytics providers
Device operating systems

AlzFocus is not responsible for third-party services, outages, policies, functionality, or security practices.

Your use of third-party services may be subject to separate terms and policies.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

ALZFOCUS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY
RELIABILITY
AVAILABILITY
SECURITY
ERROR-FREE OPERATION

We do not guarantee that:

The Services will be uninterrupted or error-free.
Data will not be lost or corrupted.
Reminders or notifications will function properly.
Shared content will remain private or secure.

USE OF THE SERVICES IS AT YOUR SOLE RISK.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALZFOCUS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

This includes, without limitation, damages arising from:

Data loss
Privacy or cybersecurity breaches
Cognitive regression
Caregiving errors
Missed reminders or calendar notifications
Service interruptions
Unauthorized access
Lost profits
Personal injury
Wrongful death
Emotional distress
App material erasures

To the maximum extent permitted by law, AlzFocus’s total liability shall not exceed the greater of:

The amount you paid to AlzFocus in the preceding twelve (12) months; or
One hundred U.S. dollars ($100).

18. Indemnification

You agree to defend, indemnify, and hold harmless AlzFocus and its affiliates, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

Your use of the Services
Your User Content
Your violation of these Terms
Your violation of any law or third-party rights
Shared-access or caregiving disputes

19. Termination

We reserve the right to suspend, restrict, or terminate access to the Services at any time, with or without notice, for any reason.

You may stop using the Services at any time.

Sections intended by their nature to survive termination shall remain in effect after termination.

20. Changes to Terms

AlzFocus may modify these Terms at any time.

Updated Terms may be posted within the app, on our website, or communicated through email or notifications.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in New York, and you consent to their jurisdiction.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and AlzFocus regarding the Services.
